engine starts from cold! wont start when warmed up!

hi everyone, here is what i'm experiencing at the moment with my e36 BMW 318ise,
1 - starts from cold 1st time, without fail :D
2 - will restart when it has been running for a few minutes :D
3 - when engine warmed (approx 20min run) try to restart - will NOT
turn over - can hear starter motor spinning,does not engage :cry:
4 - leave for a few hours - turns over and starts 1st time again :D

i have had a replacement starter motor and battery - does anyone have any clue as to what the problem might be?
